4. Customer Qualification

Our Research Products are intended only for qualified customers who have the knowledge, training, facilities, and legal authority to handle research-grade materials safely and lawfully

By placing an order, you represent and warrant that:

you are at least 21 years old, or older if required by your local law
you are legally competent to enter into a binding contract
you are not purchasing Products for human or animal consumption

We may refuse, cancel, restrict, hold, or refund any order if we believe, at our sole discretion, that the customer does not meet our qualification requirements or may intend to misuse the Products

use in violation of applicable laboratory safety, chemical safety, import, customs, pharmaceutical, medical, food, cosmetic, controlled-substance, or product-safety laws

Any violation of this section constitutes a material breach of these Terms and may result in immediate cancellation of orders, refusal of service, account termination, and reporting to appropriate authorities where legally required

We aim to provide accurate product information, including product names, quantities, concentrations, batch references, purity information, storage recommendations, and third-party testing information where available

However, product information is provided for research and informational purposes only

We do not warrant that:

all product descriptions are complete, current, or error-free
website images perfectly match the delivered Product

third-party test results guarantee suitability for your intended use

If we cancel an order before acceptance, we will normally refund any payment received, unless we are legally required or permitted to withhold funds due to fraud, chargeback abuse, sanctions, legal obligations, or payment-provider restrictions.

10. Prices, Taxes, and Payment

Prices are displayed in EUR, unless otherwise stated at checkout.

Prices may change at any time without prior notice.

Unless expressly stated at checkout, prices do not include:
shipping costs;
customs duties;
import VAT;
local taxes;
brokerage fees;
bank fees;
payment provider fees;
currency conversion fees;
additional charges imposed by third parties.

You are responsible for all taxes, duties, import charges, and fees applicable in your jurisdiction.

Payment must be made in full before Products are dispatched.

bank transfer;

Payment providers may apply their own terms, conditions, fees, compliance checks, and restrictions. We are not responsible for third-party payment provider decisions, delays, declined transactions, frozen payments, account restrictions, or compliance reviews.

11. Cryptocurrency Payments

If cryptocurrency payment is offered, the following rules apply:

payment is only considered received after sufficient network confirmations;
network fees are your responsibility;
payments sent to the wrong address may be unrecoverable;
underpayments may delay or cancel the order;
overpayments may be refunded only at our discretion and may be reduced by transaction fees;
refunds, where approved, may be issued in the original cryptocurrency or in the order currency equivalent, at our discretion and subject to technical availability;
cryptocurrency price volatility is your responsibility;
blockchain transactions may be irreversible.

We are not liable for losses caused by blockchain delays, incorrect wallet addresses, network congestion, exchange-rate fluctuations, third-party wallet issues, payment processor issues, or customer error.

12. Shipping and Fulfilment

Orders may be fulfilled from our own facilities, third-party logistics providers, fulfilment partners, or distribution centres.

The fulfilment location may vary depending on stock availability, destination country, logistics requirements, compliance considerations, and operational needs.

Shipping times shown on the Website are estimates only and are not guaranteed.

We are not responsible for delays caused by:
customs clearance;
customs inspections;
import restrictions;
carrier delays;
incorrect shipping information;
failed delivery attempts;
weather events;
strikes;
public holidays;
force majeure events;
regulatory checks;
payment verification delays;
high order volume;
third-party logistics delays.

You are responsible for providing a complete, accurate, and deliverable shipping address.

If a shipment is returned, delayed, lost, seized, destroyed, or refused because of incorrect customer information, refusal of delivery, failure to collect, customs issues, import restrictions, or local legal requirements, we may refuse refund or reshipment to the maximum extent permitted by law.

13. Import, Customs, and Local Law Compliance

You are solely responsible for determining whether the Products may be lawfully purchased, imported, possessed, stored, handled, used, and disposed of in your country, state, region, or locality.

We do not guarantee that any Product is lawful for import, possession, storage, handling, or use in your jurisdiction.

You are responsible for:

import permits;
customs clearance;
local regulatory requirements;
laboratory licensing requirements;
chemical handling rules;
tax and duty payments;
product classification;
compliance with pharmaceutical, medical, chemical, food, cosmetic, product-safety, and controlled-substance laws.

If customs, border authorities, regulators, or carriers seize, hold, delay, reject, destroy, or return a shipment due to local laws, import restrictions, missing permits, or compliance concerns, we are not responsible for any resulting loss, delay, cost, or damage, unless mandatory law provides otherwise.

We reserve the right to block or restrict shipping to certain countries, regions, persons, or entities at any time.

14. Delivery, Risk, and Title

Title to Products transfers to you only after full payment has been received.

For Business Customers, risk of loss or damage transfers when the Products are handed to the carrier, unless mandatory law provides otherwise.

For Consumers, where mandatory consumer law applies, risk transfers according to the applicable mandatory law.

You must inspect the package immediately upon delivery.

If a package appears damaged, opened, leaking, warm, compromised, tampered with, or otherwise visibly affected, you must:

take clear photographs of the outer packaging;
take clear photographs of the Product and label;
keep all packaging materials;
notify us within 48 hours of delivery.

Failure to report visible shipping damage within this period may limit your ability to receive replacement, refund, or investigation support, unless mandatory law provides otherwise.

15. Returns, Refunds, and Replacements

Due to the nature of Research Products, all sales are final to the maximum extent permitted by law.

We do not accept returns, exchanges, or refunds for Products that:

were correctly supplied;
were ordered by mistake;
are no longer wanted;
were delayed due to customs or carrier issues;
were opened, used, or compromised after delivery;
cannot be safely reintroduced into inventory;
were seized, delayed, rejected, returned, or destroyed due to import restrictions or customer non-compliance.

Limited exceptions may apply where:

the wrong Product was delivered;
the Product was materially defective at delivery;
the package was confirmed lost;
mandatory consumer law requires a remedy;
we approve a replacement or refund at our discretion.

Claims must be submitted to support@nephizlabs.com within 7 days of delivery unless mandatory law provides otherwise.

Do not return Products without written authorization.

16. EU / EEA / UK Customers and Mandatory Consumer Rights

Mandatory consumer rights remain unaffected where applicable law requires.

Withdrawal or return rights may not apply where permitted by law for:
sealed goods;
temperature-sensitive goods;
hygiene-sensitive goods;
custom-made or non-returnable goods;
products unsuitable for return after opening.

17. Product Storage and Handling

You are responsible for proper storage, handling, and disposal of Products.

We are not liable for damage caused by improper storage conditions, contamination, or misuse.

Failure to enforce any right does not waive it.
